By-laws, Charter and Rules

At the AGM on 6 July 2011, Members approved resolutions to adopt the attached amended Charter and By-Laws and note the Rules all with effect from midnight on 6 July 2011. The Charter and By-Laws are still subject to final approval by the Privy Council which will be retrospective, however, they are not expected to make any significant changes as they have been consulted throughout the process. In accordance with advice from our lawyers, SCI is therefore operating under the new constitution.

The principal changes to the Charter are: Clause 3.25 adds extra power: 'to assist and co-operate with other organisations.' References to proxy voting are removed as voting will be by person, post or electronic means.

Generally, many of the By-laws have been transferred to the Rules. The principal change to the By-laws is: The Chairman of the Board of Trustees and the Chairmen of the Standing Committees shall have a maximum life time term of six years.

The Rules have been revised to include the parts of the By-laws that have been removed.
